1. Acceptance of Terms

2. Service Description

42messages.com provides hosted software that facilitates centralized customer messaging operations, including inbox management, routing, translation, automation tooling, analytics, and channel orchestration features.

The service may interoperate with third-party services and communications channels, including Facebook Messenger, Instagram, WhatsApp, LINE, and customer-configured custom integrations. Feature availability may vary by region, channel policy, API permission, and subscription plan.

3. Eligibility, Accounts, and Administrative Control

You are responsible for all activity occurring under your account, workspace, tenants, and users, including invited team members, contractors, and automation identities.

You must maintain accurate account information, control credential access, enforce strong authentication hygiene, and immediately notify 42messages.com of suspected unauthorized use, credential compromise, or security incident impacting your environment.

4. Acceptable Use

You must use 42messages.com only in compliance with applicable law, regulation, and platform policy. You may not use the service to facilitate fraud, harassment, misinformation, unlawful surveillance, unauthorized scraping, malware distribution, or abusive messaging patterns.

You may not reverse engineer, disrupt, overload, probe, or attempt unauthorized access to infrastructure, APIs, data stores, or accounts. Use that risks platform abuse, trust & safety violations, or legal non-compliance may result in immediate suspension.

5. Third-Party Integrations

You are solely responsible for obtaining and maintaining all required rights, permissions, notices, and lawful bases for data processed through Facebook Messenger, Instagram, WhatsApp, LINE, and any custom integration connected to your workspace.

Third-party platforms may modify APIs, permissions, pricing, features, quality, and policy requirements at any time. 42messages.com is not liable for losses, delays, or restrictions caused by third-party outages, account actions, policy enforcement, or platform-level technical changes.

6. Data Governance and Compliance Allocation

As between you and 42messages.com, you remain responsible for your business content, customer records, legal notices, consent management, jurisdictional requirements, and sector-specific obligations, except where expressly agreed otherwise in writing.

You are responsible for determining whether and how the service is appropriate for your compliance posture, including privacy, communications, retention, and regulated-data requirements applicable to your organization and customers.

7. Intellectual Property

All rights, title, and interest in and to 42messages.com, including software, code, architecture, interfaces, documentation, trademarks, and derivative improvements, remain exclusively with 42messages.com and its licensors.

Except for limited usage rights expressly granted under these Terms, no license is granted by implication, estoppel, or otherwise. You retain rights to data and content you lawfully submit to the service.

8. Fees, Billing, and Payment Conditions

Paid features are billed according to the plan and billing cycle selected by you or your organization. You authorize 42messages.com and its payment providers to charge all applicable fees, taxes, and authorized overage amounts.

Unless expressly stated otherwise, fees are non-cancelable and non-refundable during active billing periods, subject only to mandatory consumer law rights and any express written agreement executed by authorized representatives.

9. Warranty Disclaimer

To the fullest extent permitted by law, 42messages.com is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

No oral or written information provided by 42messages.com will create a warranty unless explicitly included in a signed written agreement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, 42messages.com will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for loss of profits, revenue, goodwill, data, or business opportunity, arising out of or related to use of the service.

Where liability cannot be excluded, total aggregate liability for claims relating to the service is limited to amounts paid by you to 42messages.com for the applicable paid service in the twelve (12) months preceding the event giving rise to the claim.

11. Suspension and Termination

42messages.com may suspend or terminate access, in whole or in part, where required by law, for security reasons, for payment delinquency, for violation of these Terms, or for abuse of integrations or platform resources.

Upon termination, your right to use the service ceases immediately, subject to any limited post-termination access expressly provided in writing for data export or legal compliance.

12. Changes to Terms

42messages.com may update these Terms to reflect legal, technical, operational, or commercial developments. Updated Terms become effective on publication unless a different effective date is specified.

Continued use of the service after updated Terms take effect constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by applicable law as determined by mandatory conflict-of-law rules and any controlling written commercial agreement between you and 42messages.com.

Before filing formal legal proceedings, both parties agree to use reasonable efforts to resolve disputes through good-faith business discussions.
